What must be done in order to publicly market a foreign alternative fund in the Czech Republic?
The key steps are the notification of the intention to market investment in the foreign investment fund in the Czech Republic to the supervisory state in which the manager resides, as well as a registration in the relevant list maintained by the Czech National Bank (CNB).
Who needs the notification and the registration?
A foreign alternative fund managed by a manager licensed under the AIFMD (Directive 2011/61/EU of the European Parliament and of the Council on Alternative Investment Fund Managers), who is interested in publicly marketing investments in this fund in the Czech Republic. Public marketing without an appropriate notification process and registration is not permitted.
The provisions of §15 f) of Act No. 240/2013 Coll., on investment companies and investment funds (ZISIF) do not apply to foreign alternative funds (ZISIF).
What type of funds are they?
The above applies to the funds of qualified and unqualified investors. In the case of unqualified investors, the CNB must also decide on the comparability of a foreign investment fund with a special fund. At the same time, a fund intended for unqualified investors must establish a so-called contact point in the Czech Republic.
What is a public marketing?
Public marketing is when the number of addresses who are not professional customers exceeds 20 people.
