A trading company that wishes to offer its shares to the public, to reach potential investors en masse, and without limitations on the volume of shares issued and the method of promotion.

A share prospectus is issued for a single issue and must include all the information required by law. For a prospectus, 1 prospectus = 1 issue of shares.

A EU Growth Prospectus is a share prospectus for small and medium-sized companies or for companies with up to 500 employees whose public offer of shares does not exceed EUR 20 million in 12 months.
A prospectus supplement must always be drawn up during the period of validity of the prospectus if a material new fact arises or if the issuer finds a material error or inaccuracy in the prospectus. For example, when there is a change in control, a change in the issuer's business or the issuer takes on new risks. A prospectus supplement also presents newly disclosed financial information that was not included in the prospectus. The Supplement is approved by the CNB.

- we assess and recommend the appropriate share issue set-up based on our practical experience (nominal value, issue premium, maturity of the subscription price, etc.)
- we will assign you a project manager who will guide you through the entire process and keep you informed
- we will draw up a complete prospectus for the shares in accordance with the European Prospectus Regulation
- we will process the issuer's LEI and ISIN for the shares with the Central Securities Depository (CSD)
- we will ensure the approval of the prospectus in the administrative procedure at the CNB prepare the share subscription agreement (investor agreement)
- we will help with the preparation of the general meeting that will decide on the capital increase, or we will help set up a secondary sale of shares (owner exit)
- in the case of book-entry form of shares, we will arrange for the issue to be book-entry in the CDCP
- in the case of certificated shares, we will create a list of shareholders for you in accordance with the Companies Act (ZOK)
- we will advise you on the publication of the prospectus on the issuer's website and the permitted form of promotion under the European Prospectus Regulations
- we will inform you about the possible ways of distributing the issue on the financial market (via investment intermediaries, cooperation with securities dealers, web promotion, etc.)
- we will advise you on the public offering process (IPO) on the START market of the Prague Stock Exchange (BCPP), where we are an authorised legal advisor.
What will we need from you?
Information about your economic intentions, the purpose of using the funds from the share issue, information about the issuer, etc. You provide us with the information by filling in a short form. In addition, depending on the type of prospectus, you must provide two audited financial statements. If you are interested, we will recommend a suitable auditor. We can arrange everything in person, by email or by phone.
How long will it take?
It takes approximately 2-3 months for the preparation and approval of a stock prospectus at the CNB.
